Services Provided

• 4CorporateŚ provides HR, payroll, compliance, and consulting services to clients as per mutually agreed scope of work.

• Services may include payroll processing, statutory filings, drafting of HR-related documents, and advisory on employment compliance.

• Any additional services beyond the agreed scope will be subject to separate terms and fees.

Client Responsibilities

• The Client shall provide accurate, complete, and timely information necessary for service delivery.

• The Client is responsible for ensuring that all data and documents shared with 4CorporateŚ are lawful and do not infringe third-party rights.

• Delays or errors arising from incomplete or incorrect information provided by the Client shall not be the responsibility of 4CorporateŚ.

Data Protection & Confidentiality

• 4CorporateŚ acknowledges that sensitive personal and financial information may be shared in the course of providing services.

• We commit to handling such information in compliance with Indian data protection laws, including the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023.

• Both parties agree to maintain confidentiality and not disclose any proprietary or personal information except as required by law.

Fees & Payment Terms

• Fees for services will be communicated and agreed upon in advance.

• Payments must be made within the agreed timeline as per the invoice issued.

• Late payments may attract interest charges or suspension of services until dues are cleared.

Limitation of Liability

• 4CorporateŚ will exercise reasonable skill and care in delivering services.

• However, we shall not be liable for:

  • Indirect, incidental, or consequential damages;

  • Errors or delays caused by inaccurate data provided by the Client;

  • Non-compliance resulting from circumstances beyond our reasonable control (e.g., changes in law, government delays).

• Our total liability, if any, shall not exceed the fees paid for the specific service giving rise to the claim.

Intellectual Property

• All templates, documents, tools, and materials developed by 4CorporateŚ remain the intellectual property of the Company unless otherwise agreed in writing.

• The Client is granted a limited, non-transferable license to use deliverables strictly for internal business purposes.

Termination of Services

• Either party may terminate services with written notice, subject to completion of obligations and settlement of outstanding fees.

• 4CorporateŚ may suspend or terminate services immediately in case of non-payment, breach of these Terms, or unlawful activities by the Client.

Governing Law & Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of India.

• Any disputes shall first be attempted to be resolved amicably through negotiation.

• If unresolved, disputes shall be subject to the jurisdiction of the courts in Calicut, Kerala.

Changes to Terms

• 4CorporateŚ reserves the right to update or modify these Terms at any time.

• Updated Terms will be posted on our website with the effective date. Continued use of services implies acceptance of the revised Terms.
